Payment Gateway — Stripe Only
Razorpay, UPI, UPI QR not in base scope. Need written confirmation on Razorpay integration — included or add-on cost?
"No Change in Flow" — §1.1
Clause says application flow remains unchanged. This may conflict with customisation requirements. Need clarification on what changes are allowed.
Code Ownership Scope
§8.3.8 transfers ownership of "Deliverables per SOW." Need written confirmation this includes the full base platform source code, not just customisations.
Coupon Engine — Add-on Only
City-wise promo codes and auto-apply coupons are chargeable extras. Need pricing.
GST Invoicing — Not Mentioned
No GST PDF invoices or GSTR-1/3B export anywhere in proposal. Need confirmation if in-scope or separate cost.
Exit Policy — §8.3.19
On termination, client pays the next milestone even if incomplete. Should clarify: pay for work done only, or full next milestone?
Tech Stack Mismatch — PHP/LAMP
Proposal uses PHP + MySQL + Apache. Our stack is Flutter + Node.js. This means no code reuse, harder to maintain in-house, and limits future developer hiring aligned with our team.

Anything not written in the proposal will not be implemented. All verbal commitments must be added to a Schedule.
Ownership & IP Summary
What §8.3.8 Says
"Once all outstanding dues received… Client shall own worldwide rights to the software, firmware, and overall design of any Deliverables."
Key points: Ownership transfers only after full payment. Code Brew retains right to reuse algorithms/architectures. §8.2 promises source code + certificates + server keys handover. The word "Deliverables" needs to be clarified — does it mean only customisations or the full Royo Rides platform?
Before Signing — Get Written Answers On
- Source Code Ownership to Client — Full base platform + customisations, not just "Deliverables per SOW." Explicit clause in contract.
- GitHub Access for Client — Private repo with full commit history, client added as owner/admin from day one — not just a zip file at handover.
- Fleet Owner / Vendor Module — Multi-vendor or fleet-owner management (separate logins, vehicle assignment, earnings split). Confirm if in scope or add-on.
- Razorpay / Cashfree Support — Written confirmation of Indian payment gateway (Razorpay or Cashfree) with UPI, cards, wallets, refunds, webhooks. Included in ₹8L or priced add-on?
- GST Invoices — Per-trip GST-compliant PDF invoice, GSTR-1/3B export, HSN codes, tax breakup on customer receipt. In scope or extra?
- Driver KYC Workflow — Document upload (licence, RC, insurance, Aadhaar), admin approve/reject, expiry alerts, re-verification flow. Confirm full workflow exists.
- App Store Submission Responsibility — Who submits to Apple App Store and Google Play? Who owns the developer accounts? Who handles rejections/updates?
- Server Ownership of Client — Hosting on client's own AWS/GCP/DO account, or Code Brew's? Who has root/SSH access? Can we migrate independently?
- Exit / Handover Process — Clean documentation: deployment guide, environment variables, DB schema docs, API docs, admin credentials, DNS transfer steps. Written handover checklist in contract.
- §1.1 "No Flow Changes" — Amend clause to allow listed customisations even where they alter the default application flow.
